Bridger Aerospace Acquires FMS Aerospace

BELGRADE, Mont. – Bridger Aerospace Group Holdings, Inc. (“Bridger Aerospace”), a prominent provider of aerial firefighting services, has completed the acquisition of FMS Aerospace (“FMS”), based in Huntsville, Alabama. This strategic move marks Bridger’s expansion into comprehensive airframe modification and integration solutions for government and commercial clients.

The transaction, valued at $20.6 million in equity, includes an initial consideration of $17.51 million in restricted common stock, with a potential additional earn-out of up to $3.09 million based on achieving certain EBITDA targets over the next two years.

Commenting on the acquisition, Sam Davis, CEO of Bridger Aerospace, highlighted the synergies between the two companies: “Having collaborated with FMS on our Multi-Mission Aircraft (MMA) program, we have witnessed their exceptional engineering and manufacturing capabilities. Integrating FMS into Bridger will consolidate our strengths and enhance our ability to pursue critical missions in emergency air services, aerospace modifications, and defense systems engineering.”

Jesse Whitfield, CEO of FMS, expressed optimism about the partnership: “Joining Bridger provides us with the necessary resources and operational synergies to accelerate our growth trajectory. We anticipate that combining forces will enable us to pursue larger contracts and expand our market presence.”

Founded in 2013, FMS specializes in airframe modification, integration solutions, instrumentation, flight testing, and airworthiness certification for a diverse clientele. The company reported $10.3 million in revenue and $2.5 million in net income for the full year 2023, with $2.0 million in cash reserves and no debt.

The acquisition is expected to bolster Bridger’s earnings and operational capabilities significantly, positioning the company for continued growth in its core firefighting services and expanding into new aerospace sectors.

This acquisition underscores Bridger Aerospace’s commitment to enhancing its capabilities through strategic investments, aiming to solidify its position as a leader in aerial firefighting and aerospace solutions.
